Acceptance of Terms

Welcome to MaxStack Software ('MaxStack', 'we', 'us'). By accessing maxstacksoftware.com, submitting inquiries, or entering into software development engagements with us, you acknowledge and agree to comply with these Terms of Service.

In the event of any direct inconsistency between these general Terms of Service and an executed Commercial Agreement (including attached SOWs), the terms of the executed Commercial Agreement will prevail.

Scope of Engineering Services

MaxStack delivers bespoke software engineering and architectural consulting services:

LandingX: Bespoke corporate and product websites engineered for extreme performance, technical SEO, and distinctive brand aesthetics.

WebXpert: Full-lifecycle Web App development, digital platforms, and microservices-ready architectures built for high concurrency (10,000+ CCU).

MobileX: Dedicated iOS & Android applications (Native & Cross-Platform), expanding to industrial legacy platforms (Windows CE, Windows Phone, rugged PDAs, barcode/RFID scanners) with Offline-First data sync.

Build4You: Fully custom software engineered from scratch to match unique enterprise operational workflows.

TailorX: Deep customization and deployment of leading open-source platforms (Odoo, ERPNext, Medusa.js, Saleor, Keycloak) backed by on-demand framework R&D.

AdaptX, TestPro & BugFix: Independent QA testing, vulnerability audits, emergency remediation, and ongoing codebase modernization.

Agreements, Estimates & Change Requests (CR)

Scope of Work (SOW): Prior to project kick-off, both parties execute an SOW detailing features, architectural choices, milestones, and explicit acceptance criteria.

Transparent Pricing: MaxStack quotes are fixed-fee or clearly budgeted by milestone without hidden charges.

Change Requests (CR): Modifications or supplementary features outside the agreed SOW will be scoped, priced, and approved in writing via a Change Request before technical implementation begins.

Intellectual Property & Source Code Ownership

100% Client Ownership: Upon full settlement of contractual payment obligations, complete Intellectual Property rights to bespoke source code, UI/UX designs, and application databases transfer entirely to the client.

Clean Source Code Handoff: MaxStack delivers documented, clean source code without proprietary lock-ins, artificial obfuscation, or backdoors.

Open Source Customizations (TailorX): Clients adhere to the upstream open-source license (LGPL, MIT, Apache, etc.) and retain full ownership of custom extension modules engineered by MaxStack.

Pre-existing Frameworks: MaxStack retains rights to its generic boilerplate libraries and developer tooling that contain no client-specific trade secrets, retaining the right to reuse generalized knowledge.

Payment Terms & Milestone Acceptance

Milestone Invoicing: Invoices are issued against verified project milestones (e.g. Inception Deposit -> Core MVP Release -> Final UAT Sign-off & Go-Live).

User Acceptance Testing (UAT): Clients typically receive 7–14 business days to inspect deliverables against agreed acceptance criteria. Validated defects are rectified without additional cost.

Tax Compliance: All transactions are invoiced in accordance with applicable tax and commercial reporting statutes.

Warranty, Ongoing Maintenance & SLA

Standard Post-Launch Warranty: MaxStack provides a 3 to 6-month complimentary technical warranty covering verified bugs within the scope of delivered code.

Extended SLA Maintenance: Clients may opt for ongoing Service Level Agreements (SLA) offering proactive health monitoring, 2–4 hour incident response times, and regular security patching.

Limitation of Liability & Force Majeure

Liability Cap: MaxStack's aggregate financial liability for direct damages arising out of any engagement shall not exceed the total fees paid by the client for the specific project phase involved.

Third-Party Exclusions: MaxStack is not liable for disruptions attributable to third-party telecommunications outages, upstream cloud infrastructure failures (AWS/GCP), or unauthorized modifications made to the codebase post-handoff by non-MaxStack personnel.

Force Majeure: Neither party shall be held in breach for delays resulting from events beyond reasonable control, including natural disasters, acts of government, armed conflict, or major utility outages.

Suspension & Contract Termination

Either party may terminate the engagement if the other party commits a material breach of contractual obligations and fails to cure such breach within 15–30 calendar days of written notice.

Upon early termination, the client shall pay for work completed up to the date of termination, and MaxStack will deliver all corresponding work artifacts and source code.

Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

Disputes shall first be addressed through amicable executive negotiations. If unresolved within 30 days, matters shall be submitted to the Vietnam International Arbitration Centre (VIAC) or competent courts in Ho Chi Minh City, Vietnam.
